Acceptance of Terms
These Terms and Conditions ("Terms") govern your access to and use of the ControlShift
website and any related services. By accessing or using our Site, you acknowledge that you
have read, understood, and agree to be bound by these Terms and all applicable laws and
regulations. If you do not agree with any part of these Terms, you must discontinue use of the
Site immediately. Users of the Site must be at least the age of legal majority in their jurisdiction
(or have permission from a legal guardian) to accept these Terms. Additional terms may apply
for specific services or sections of the Site; any such terms will be presented to you and are
hereby incorporated by reference. In the event of a conflict between these general Terms and
any specific terms for a particular service, the specific terms will prevail for that service.
User Responsibilities and Acceptable Use

intellectual property laws.
We grant you a limited, revocable, non-exclusive license to access and use the Site and its
content for your personal use or internal business purposes. Under this license, you may not
copy, modify, reproduce, republish, upload, post, transmit, or distribute any part of the Site's
content for commercial use without our prior written consent. All trademarks and service marks
on the Site (including the ControlShift name and logo) are the property of ControlShift or its
licensors. Nothing in these Terms grants you any right or license to use any trademark displayed
on the Site without the owner's prior written permission. Any unauthorized use of our intellectual
property is strictly prohibited and may result in termination of the license granted to you as well
as legal action.
Service Limitations and Modifications
While we strive to ensure that our website and services are helpful and reliable, ControlShift
makes no guarantee that the content on the Site is complete, accurate, or up-to-date. The
materials and information on our Site could include technical inaccuracies or typographical
errors. We reserve the right to modify, suspend, or discontinue any part of the Site or the
services we offer, temporarily or permanently, at any time without notice. However, we do not
undertake any obligation to update the content on our Site, so information presented may
occasionally be out of date. You agree that ControlShift will not be liable to you or to any third
party for any modification, suspension, or discontinuance of the Site or any service.
Additionally, while we endeavor to maintain the availability of the Site, we do not guarantee
uninterrupted or error-free operation. Access to the Site may be occasionally restricted to allow
for repairs, maintenance, or the introduction of new facilities or services. We will try to perform
such work at off-peak hours to minimize disruption.
Payment Terms
If you engage ControlShift for any paid services or purchase any products through our Site (for
example, if we offer digital marketing packages, subscription services, or other paid offerings),
you agree to the applicable fees and payment terms presented to you at the time of purchase.
Fees and Payment: All prices for services will be provided either on our Site or in a
proposal/contract. You must pay all fees or charges to your account in accordance with the
billing terms in effect at the time a fee or charge is due. Payment terms inform customers about
accepted payment methods, due dates, and any penalties for late payments. Unless
otherwise specified, fees are quoted in United Arab Emirates Dirhams (AED) and are exclusive

Invoicing and Due Dates: If we issue you an invoice, payment is due as per the date indicated
on the invoice (for instance, net 15 days unless otherwise agreed in writing). For subscription or

stated in the service agreement. Late Payments: If you fail to pay any amount due within the
specified timeframe, we reserve the right to charge interest on the overdue amount at the rate
permitted by law or to suspend or terminate your access to the paid services after giving you
notice. You will be responsible for any collection costs (including legal fees) incurred by us in
recovering overdue amounts.
All payments should be made through the approved payment methods (such as credit card,
bank transfer, or other methods we support). We use secure third-party payment processors to
handle payment transactions; by making a payment, you agree to the processing of your
payment information by these providers pursuant to their terms and privacy policies. Unless
expressly provided, payments are non-refundable. If you believe there has been an error in

services provided on or through the Site are provided on an "as is" and "as available" basis. To
the maximum extent permitted by law, ControlShift disclaims all warranties of any kind, whether
express or implied, including, but not limited to, implied warranties of merchantability, fitness for
a particular purpose, title, and non-infringement. We make no warranty that (i) the Site will meet
your requirements or expectations; (ii) the Site will be uninterrupted, timely, secure, or error-free;
or (iii) any results or information that can be obtained from use of the Site will be accurate or
reliable.
ControlShift does not warrant or make any representations concerning the accuracy,
completeness, timeliness, or reliability of the materials on the Site or on any sites linked to this
Site. While we endeavor to correct any errors or omissions as soon as practicable once they are
brought to our attention, we make no commitment to update the information on the Site. You
understand and agree that any material downloaded or otherwise obtained through the use of
the Site is done at your own discretion and risk, and that you will be solely responsible for any
damage to your computer system or loss of data that results from the download of any such
material. No advice or information, whether oral or written, obtained by you from ControlShift or
through the Site shall create any warranty not expressly stated in these Terms.
Limitation of Liability
To the fullest extent permitted under applicable law, in no event shall ControlShift, its directors,
employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or
exemplary damages whatsoever arising out of or in connection with your use of or inability to
use the Site or our services. This includes, without limitation, any damages for lost profits, lost
data, business interruption, or other intangible losses, even if we have been advised of the
possibility of such damages.
ControlShift's total cumulative liability for any direct damages arising out of or related to these
Terms or your use of the Site shall not exceed the greater of the amount (if any) you paid to us
for a specific service related to the claim in the six months immediately preceding the event
giving rise to the claim, or one hundred US dollars (USD $100). Some jurisdictions do not allow
the exclusion or limitation of certain damages or implied warranties, so the above limitations
may not apply to you in such cases. In those jurisdictions, ControlShift's liability will be limited to
the maximum extent permitted by law.
Indemnification
You agree to indemnify and hold ControlShift and its officers, directors, employees, and agents
harmless from any and all claims, demands, losses, liabilities, and expenses (including
attorneys' fees) made by any third party due to or arising out of your use of the Site, your
violation of these Terms, or your infringement of any intellectual property or other right of any
person or entity. This means that if a third party sues us because of something you did in
violation of these Terms or applicable law, you may be required to defend and pay for any
damages or losses we suffer. We will promptly notify you of any such claim and allow you to
assume the defense (with counsel reasonably approved by us), provided that you shall not
settle any claim that involves a financial obligation on or admission of liability by ControlShift
without our prior written consent. ControlShift reserves the right, at your expense, to assume the
exclusive defense and control of any matter otherwise subject to indemnification by you. This
indemnification obligation will survive termination of your use of the Site and these Terms.
Termination
These Terms are effective unless and until terminated by either you or ControlShift. We may, at
our sole discretion, terminate or suspend your access to the Site (or any part thereof)
immediately, without prior notice, for conduct that we believe violates these Terms or is harmful
to our interests or the interests of other users or third parties. Causes for termination may
include: violating the letter or spirit of these Terms, engaging in prohibited activities as outlined
above, or non-payment of fees for any paid services.
If your use of the Site is terminated or suspended, either voluntarily or involuntarily, for any
reason: (a) your right to use or access the Site will immediately cease; (b) we may deactivate or
delete your account (if you have one) and all associated information, files, or content, and bar
any further access to such data (except as may be required by law or as provided in our Privacy
Policy regarding data retention); and (c) we shall not be liable to you or any third-party for
termination of your access to the Site.
You may discontinue use of our Site at any time by simply ceasing to access it. If you wish to
terminate any account you have with us, you may contact us or use any account termination
functionality provided on the Site. All provisions of these Terms which by their nature should
survive termination (such as intellectual property provisions, warranty disclaimers, indemnity,
and limitations of liability) shall survive any termination of your access or use of the Site.
Governing Law
This Agreement and any dispute or claim (including non-contractual disputes or claims) arising
out of or in connection with the Site or these Terms shall be governed by and construed in
accordance with the laws of the United Arab Emirates, without regard to its conflict of law
principles. If you are accessing our services from outside the UAE, you are responsible for
complying with local laws. By using the Site, you agree that any disputes arising under these
Terms will be subject to the exclusive jurisdiction of the courts located in the UAE (and,
specifically, we may designate the courts of the Emirate of Dubai, UAE as the exclusive forum),
and you hereby consent and submit to the personal jurisdiction of such courts for the purposes
of litigating any such action. Notwithstanding this, ControlShift retains the right to bring legal
proceedings in any jurisdiction where we believe a breach of these Terms is taking place or
originating.
Changes to These Terms
ControlShift reserves the right to revise or update these Terms and Conditions at any time in its
sole discretion. If we do so, we will post the updated version on this page and update the "Last
Updated" date. Changes to the Terms are effective immediately upon posting, unless otherwise
stated. By continuing to use the Site after any changes are posted, you agree to be bound by
the revised Terms. It is your responsibility to review this page periodically for the most current
version of the Terms. If you do not agree to the new terms, please stop using the Site. We may,
in our discretion, also provide notice of material changes via email or through other notification
mechanisms.
